1. Parties & Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "the customer", "the user") and BIZVEE CONSULTANTS LTD (trading as NUANS Report Canada), registered in the United Kingdom (company number available upon request), with registered address at 27 Old Gloucester Street, Holborn, London, WC1N 3AX. Operations are also conducted through its affiliate BIZVEE LLC, 6545 Market Ave N Ste 100, Canton, OH 44721, USA.

These Terms govern your access to and use of nuansreportcanada.ca (the "Website") and all NUANS report ordering services offered through it (the "Services").

2. Description of Services

NUANS Report Canada provides an independent, private intermediary service for obtaining NUANS (Newly Upgraded Automated Name Search) reports. Specifically, we:

• Accept orders from customers for NUANS name search reports
• Submit those orders to the national NUANS database via authorized third-party access
• Deliver the resulting official NUANS report PDF to the customer's provided email address

We do not provide legal advice, incorporate businesses, act as a registered agent, or advise on corporate law. Our service is limited to obtaining and delivering the NUANS report document to you.

3. Eligibility & Account

By using our Services, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into a binding contract
• All information you provide to us is true, accurate, current, and complete
• You will use the Services only for lawful purposes

4. Ordering & Payment

Placing an Order

When you place an order through our Website, you are making an offer to purchase the selected NUANS report service. We reserve the right to accept or reject any order. An order is confirmed when you receive an order confirmation email from us.

Accurate Information

You are solely responsible for providing the correct proposed corporation name, jurisdiction, email address, and any other information required for your order. We are not liable for delays, errors, or failed deliveries caused by incorrect information you provide.

Pricing

All prices are displayed in Canadian dollars (CAD) unless otherwise stated. Prices are subject to change without notice, but the price at the time of your completed order is the price you will pay. Applicable taxes will be added at checkout where required by law.

Payment Processing

All payments are processed securely by Stripe Inc., a PCI-DSS Level 1 certified payment processor. By placing an order, you agree to Stripe's Terms of Service. We do not store your credit or debit card information on our servers.

5. Delivery of NUANS Reports

NUANS reports are delivered as PDF documents to the email address you provide at checkout. Estimated delivery times are:

• Standard Plan: Approximately 3 hours from order confirmation during business hours
• Express Plan: Approximately 1 hour from order confirmation during business hours
• Instant Plan: As soon as possible upon payment confirmation; typically minutes

Delivery times are estimates only and are not guaranteed. Factors such as NUANS system maintenance, high order volume, or technical issues beyond our control may affect delivery times. We will endeavour to notify you of any significant delays.

6. NUANS Report Validity & Accuracy

NUANS reports are generated from the national NUANS database at the time of your order. You acknowledge and agree that:

• NUANS reports are valid for 90 days from the date of generation. It is your responsibility to file your incorporation within this period.
• A NUANS report is a search result — it does not guarantee that your proposed name will be approved by the corporate registry.
• The corporate registry (ServiceOntario, Service Alberta, Corporations Canada, or Service New Brunswick) makes the final determination on name acceptability.
• The NUANS database is updated continuously. Names that appear available at the time of your search may become unavailable by the time you file your incorporation.
• We are not responsible for any corporate name rejection by a government registry following your use of a report we delivered.

7. Intellectual Property

All content on nuansreportcanada.ca — including text, graphics, logos, page design, and software — is the intellectual property of NUANS Report Canada or its licensors and is protected by applicable copyright and trademark laws.

NUANS® is a registered trademark of the Government of Canada. Our use of the NUANS name is under sublicence and does not imply endorsement or affiliation with the Government of Canada.

You may not copy, reproduce, distribute, modify, or create derivative works from any content on this Website without our prior written consent.

8. Prohibited Uses

You agree not to use our Website or Services to:

• Violate any applicable laws or regulations
• Submit false or misleading information in any order
• Attempt to obtain NUANS reports under fraudulent pretenses
• Interfere with or disrupt the operation of the Website or servers
• Use automated tools, scrapers, or bots to access the Website
• Attempt to gain unauthorized access to any part of the Website
• Resell, redistribute, or commercially exploit NUANS reports without our written authorization

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• Our total liability to you for any claim arising from or related to our Services shall not exceed the amount you paid for the specific order giving rise to the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, or loss of data.
• We are not liable for delays caused by NUANS system outages, government maintenance, or other events outside our control.
• We are not liable for corporate name rejections, incorporation failures, or any legal or regulatory consequences arising from your use of a NUANS report.

Nothing in these Terms limits our liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded by law.

10. Disclaimer of Warranties

Our Website and Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Website will be uninterrupted, error-free, or free of viruses or harmful components. We do not warrant that NUANS reports will result in successful corporate name registration.

11. Indemnification

You agree to indemnify, defend, and hold harmless NUANS Report Canada, its directors, officers, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising from: (a) your use of the Website or Services; (b) your violation of these Terms; or (c) your violation of any third-party rights.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of our Services shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration or the courts of Ontario, Canada, at our election.

If you are a consumer in a country with mandatory consumer protection laws, those laws may give you additional rights that these Terms do not restrict.

We reserve the right to update these Terms at any time. We will post the revised Terms on this page with an updated "Last updated" date. Your continued use of the Website or Services after the effective date of any change constitutes your acceptance of the revised Terms.
